Beneficial Ownership Reporting Philippines

Beneficial ownership reporting looks beyond the registered shareholder to the natural person who ultimately owns, controls or benefits from the corporation. The analysis must reflect both ownership and other means of control.

Who must be examined

  • Direct registered shareholders
  • Indirect ownership through companies, trusts or nominees
  • Persons controlling voting or appointment rights
  • Persons exercising control through agreements or other arrangements
  • Ultimate natural persons behind institutional owners

Working method

  1. Build the ownership chain to natural persons.
  2. Calculate direct and indirect interests.
  3. Review voting, veto, board-appointment and management rights.
  4. Identify nominee, trust and control arrangements.
  5. Collect reliable identification and supporting records.
  6. Report using the current SEC form and rules.
  7. Update the record when reportable facts change.

Evidence file

Keep organization charts, registers, declarations, identification records, shareholders’ agreements, trust or nominee documents, board rights and the accepted SEC filing.

False-disclosure warning

Registered ownership alone is not enough when another person actually controls or benefits. Inconsistency across the GIS, stock and transfer book and internal records should be investigated.
