Shares and Shareholders in Philippine Corporations

Share ownership is governed by the Articles, bylaws, subscription and transfer documents, stock and transfer book, certificates and applicable law. A private agreement alone may not complete a transfer or bind the corporation.

Ownership decisions

  • Are the shares authorized, subscribed, issued and fully paid?
  • Does a transfer require compliance with restrictions, taxes or documentary steps?
  • Do pre-emptive rights apply?
  • What voting rights and thresholds attach to the shares?
  • May dividends lawfully be declared?
  • What remedies are available for denial of inspection, dilution or oppressive conduct?

Share-transfer pathway

  1. Review the Articles, bylaws, shareholders’ agreements and restrictions.
  2. Confirm title, certificate status and payment.
  3. Prepare the transfer instrument and tax documentation.
  4. Obtain any required corporate approval.
  5. Cancel and issue certificates where applicable.
  6. Record the transfer in the stock and transfer book.
  7. Update beneficial-ownership and regulatory filings when required.

Next step: Treat the stock and transfer book as a controlling corporate record, not an administrative afterthought.
