Foreign-investment screening must examine the real activity, funding and control—not only the names in the Articles.

Red flags

  • The proposed activity is described too broadly to classify.
  • A Filipino shareholder did not provide or control the stated investment.
  • Side agreements give a foreign investor undisclosed voting or management control.
  • The capital figure was copied from another company without checking the governing law.
  • The GIS, stock records and beneficial-ownership chart do not match.
  • The company plans multiple activities with different ownership limits.
