Registration goes faster when the founders settle the business decisions before opening the SEC application.

1. Define the exact activity

Describe what the company will sell, who its customers are and whether a regulator or secondary license is involved.

2. Identify every owner

Record citizenship, contribution, beneficial ownership and the percentage each person will hold.

3. Choose the entity

Compare a sole proprietorship, partnership, One Person Corporation and ordinary corporation using liability, continuity and funding needs.

4. Confirm the capital

Separate authorized, subscribed and paid-in capital and check whether foreign ownership or a special law changes the requirement.

5. Allocate control

Decide who will sit on the board, serve as officers, sign contracts and approve reserved matters.
