Business Contracts and Corporate Authority

A valid business contract requires more than acceptable commercial terms. The company must confirm capacity, signing authority, required corporate approvals, regulatory conditions and evidence of authorization.

Before signing

  • Identify the contracting entity and beneficial counterparty.
  • Confirm the board, shareholder or officer approval required.
  • Verify the signatory’s authority.
  • Check conditions, licenses, data, tax and sector-specific requirements.
  • Preserve the resolution, secretary’s certificate and final signed agreement.

General contract doctrine belongs with CivilLaw.ph; CorporateCode focuses on authority and governance consequences.
