Pre-emptive Rights Philippines

Pre-emptive rights can allow existing stockholders to subscribe to new shares in proportion to their holdings, unless the right is denied or limited by the Articles or a statutory exception applies.

Decision questions

  • Is the proposed issuance within the authorized capital or part of an increase?
  • Does the shareholder’s class carry the right?
  • Do the Articles deny or limit pre-emptive rights?
  • Does a Revised Corporation Code exception apply?
  • Were the board and shareholder approvals valid?
  • Was the offer made on equal and documented terms?

Procedure

  1. Review the Articles, capitalization and share classes.
  2. Identify the issuance purpose and number of shares.
  3. Determine the eligible shareholders and proportions.
  4. Prepare the offer, price, period and payment instructions.
  5. Record acceptances, waivers and unsubscribed balances.
  6. Approve and issue shares lawfully.
  7. Update certificates, stock and transfer book and filings.

Dispute evidence

Keep the capitalization table, board materials, valuation or pricing basis, notices, waivers, subscriptions and updated ownership records.
