Core record set
- Background memorandum and supporting documents
- Meeting notice, agenda and proof of delivery
- Attendance, quorum and conflict disclosures
- Minutes recording deliberation and vote
- Board or shareholder resolution
- Secretary’s certificate when required for a third party
- Signed agreement, filing receipt or evidence of implementation
