- Articles, bylaws and shareholders’ agreement
- Seller’s title and certificate status
- Valid transfer restrictions and consent rights
- Foreign-ownership result after transfer
- Tax and documentary requirements
At closing
- Signed transfer instrument
- Endorsed and surrendered certificate where applicable
- Payment and tax evidence
- Required corporate approval
After closing
- Cancellation and issuance of certificates
- Stock and transfer book entry
- Updated beneficial-ownership records
- Required SEC or regulatory updates
