A signed sale agreement alone does not complete a share transfer for corporate purposes.

Before closing

  • Articles, bylaws and shareholders’ agreement
  • Seller’s title and certificate status
  • Valid transfer restrictions and consent rights
  • Foreign-ownership result after transfer
  • Tax and documentary requirements

At closing

  • Signed transfer instrument
  • Endorsed and surrendered certificate where applicable
  • Payment and tax evidence
  • Required corporate approval

After closing

  • Cancellation and issuance of certificates
  • Stock and transfer book entry
  • Updated beneficial-ownership records
  • Required SEC or regulatory updates
